The Bank of the Philippines Islands (“BPI”) has issued its two-year Peso-denominated fixed rate BPI Supporting Individuals Grow, Lead, and Achieve  Bonds (the “BPI SIGLA Bonds”), with an option for early redemption, the second tranche under its PHP 200,000,000,000.00 Bond and Commercial Paper Program approved on October 16, 2024 (the “Program”).

The following does not purport to be a complete listing of all the rights, obligations, or privileges pertaining to the BPI SIGLA Bonds and is qualified in its entirety by the General Terms and Conditions in the Offering Circular dated April 25, 2025 (the “Offering Circular”), the Pricing Supplement dated February 13, 2026 (the “Pricing Supplement”), the Program Agreement dated April 25, 2025, Master Registry and Paying Agency Agreement dated April 25, 2025, Trust Agreement dated April 25, 2025, their supplements, and other agreements. Please refer to pages 45 to 84 of the Offering Circular for the General Terms and Conditions relating to any tranche of the Program and the Pricing Supplement for the terms and conditions applicable to the BPI SIGLA Bonds.

Use of Proceeds

The net proceeds from the BPI SIGLA Bonds will be used for the financing or refinancing of eligible social projects under the BPI’s Sustainable Funding Framework consistent with the ASEAN Social Bonds Standards.

Form and Denomination

The BPI SIGLA Bonds shall be issued in scripless form in minimum denominations of ₱500,000 each, and in integral multiples of ₱100,000 in excess thereof, and traded in denominations of ₱10,000 in the secondary market
