BPI considers effective governance reporting as central to the review of its system of governance and a key mechanism that allows its leadership to demonstrate integrity, transparency and accountability in their activities through corporate governance disclosures that are meaningful, forward looking, succinct and presented in an innovative and engaging manner.
This approach has stood the Board in good stead and will continue to underpin our efforts in raising the Bank’s standards of governance over time by continually benchmarking, modelling governance best practice and supporting corporate governance-related regulatory initiatives of the SEC and BSP.
Our Corporate Governance Manual documents the framework of policies, rules, systems and processes in the corporation that governs the performance by the board of directors and management of their respective duties and responsibilities to stockholders and other stakeholders which include, among others, customers, employees, suppliers, financiers, government and the community in which it operates. Our board of directors commit themselves to the principles and practices contained in the manual that are designed to ensure the independence of the board and its ability to effectively supervise management's operation of the bank and guide them in pursuit of corporate goals. The board also undertakes every effort necessary to create the requisite awareness of these principles and practices within the organization in order to ensure proper internalization by every member of the organization including directors, officers and employees.
The Manual on Corporate Governance was reviewed, updated and revised as of December 2024 and was, likewise, approved and adopted, in its entirety, by the Board of Directors/Executive Committee.

SEC Memorandum Circular No. 15, Series of 2017 and PSE Memorandum CN No. 2017-0079 mandate all companies listed in the PSE to submit the Integrated Annual Corporate Governance Report (I-ACGR) on or before May 30th of every year that the company remains listed on the PSE.
The I-ACGR covers (1) Recommendations from SEC CG Code for Publicly-Listed Companies, (2) Supplemental provisions from PSE CG Guidelines Disclosure Survey, (3) Additional requirements not in SEC CG Code/PSE CG Guidelines but expected of PLCs, and (4) Requirements from the ASEAN CG Scorecard (optional). Under the ASEAN Capital Market Forum, of which the SEC is a regular member, six ASEAN economies have adopted an ASEAN Corporate Governance Scorecard to rate compliance with existing corporate governance rules, regulations, and best practices of ASEAN publicly listed companies (PLCs). This initiative is in conjunction with the inter-connection between the different participating ASEAN stock exchanges and towards promoting the ASEAN brand as an asset class to the international investment community.
As a publicly listed company, BPI, through its Corporate Governance, Compliance Office, is actively benchmarking its governance practices to be consistent with that of its counterparts in the region. We are strongly supportive of initiatives that strengthen regional capital market development, as well as regional economic integration. We have adopted the rigorous benchmarking technology based on the ASEAN Corporate Governance Scorecard and since the launch of the ACGS through the joint efforts of the SEC and the Institute of Corporate Directors (ICD) in 2012, the Bank has merited considerable success and continues to register marked improvement in its scorecard performance.
Ultimately, for BPI, an important result of successful corporate governance is a strong balance among responsible direction-setting, performance-driven culture, and discipline in risk taking.
